Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ProcureBase (the “Service”), including our website and web application, operated by ProcureBase (“ProcureBase,” “we,” “us,” “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) Eligibility and Authority
You must be at least 13 years old to use the Service. The Service is not directed to children under 13. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
2) Accounts and Security
You are responsible for:keeping your login credentials confidential, andall activity that occurs under your account.
You agree to notify us promptly if you suspect unauthorized access.
3) The Service
ProcureBase provides a platform to help teams manage sourcing/procurement workflows (for example: RFQs, vendor collaboration, files, messages, and related project data). We may change, suspend, or discontinue any part of the Service at any time.
4) Acceptable Use
You agree not to (and not to allow anyone else to):Break any law or regulation.Infringe intellectual property, privacy, or other rights.Upload malware, attempt to disrupt the Service, or bypass security.Access or attempt to access data you do not have permission to access.Reverse engineer or attempt to extract source code except where prohibited by law.Use the Service to send spam or abusive content.
5) Your Content and Permissions
“User Content” means anything you submit to the Service (e.g., messages, drawings, CAD/part files, attachments, notes, RFQs, and metadata).
You own your User Content.You grant ProcureBase a limited, worldwide, non-exclusive license to host, store, back up, reproduce, process, transmit, and display your User Content only as necessary to:provide, maintain, and secure the Service,share content according to your in-app permissions and actions,prevent or address technical/security issues,comply with law, andenforce these Terms.
You are responsible for your User Content and for ensuring you have all rights needed to submit and share it.
6) Collaboration and Shared Workspaces
If you add users, invite collaborators, or share projects/RFQs with third parties (including vendors), you understand that those parties may view, download, and use the content you choose to share with them through the Service.
7) Beta / MVP Disclaimer
The Service may be offered as an early-stage product. Features may change, and the Service may contain bugs or interruptions. You are responsible for maintaining backups of important User Content.
8) Third-Party Services
We may use third-party providers (e.g., hosting, storage, email delivery, analytics) to operate the Service. Third-party services may have their own terms, and we are not responsible for third-party services.
9) Intellectual Property
ProcureBase and its licensors own the Service (software, design, trademarks, and related IP). Except for the rights explicitly granted in these Terms, no rights are granted to you.
10) Feedback
If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.
11) Termination
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe:you violated these Terms,your use creates risk or harm to ProcureBase or others, orwe must do so to comply with law.
Upon termination, your right to use the Service stops. Data retention/deletion is described in the Privacy Policy.
12) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCUREBASE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCUREBASE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCUREBASE’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID PROCUREBASE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
14) Indemnification
You agree to indemnify and hold harmless ProcureBase from claims arising out of:your User Content,your use of the Service in violation of these Terms, oryour violation of law or third-party rights.
15) Governing Law and Venue
These Terms are governed by the laws of MA, United States, excluding conflict-of-law rules. Any dispute must be brought in the state or federal courts located in MA and you consent to jurisdiction there.
16) Changes to Terms
We may update these Terms from time to time. If changes are material, we will provide notice (e.g., via the Service or by email). Continued use after the effective date means you accept the updated Terms.
